These Terms apply between Neosapients, Inc. and its affiliates ("we", "us", "our") and you, the person accessing or using the Platform. If you are accessing the Platform on behalf of a company or other organisation, you represent that you have authority to bind that entity and are agreeing to these Terms on its behalf.

You should read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, please do not use the Platform and you must stop using the Platform immediately.

1. Access & Eligibility

The Platform is intended for professional and business use by individuals who are at least 18 years of age and are authorised to act on behalf of their organisation where applicable. We may prevent or suspend your access to the Platform at any time if you do not comply with these Terms or any applicable law.

2. Your Account

• You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account
• You must not share your account or permit any other person to access the Platform using your credentials
• You must notify us immediately at infosec@neosapients.ai if you suspect unauthorised access to your account
• If you are accessing the Platform under credentials provided by your employer, your employer may have additional policies governing your use

3. Your Privacy

Your privacy and personal data are important to us. Any personal data you provide to us will be handled in line with our Privacy Policy, which explains what personal data we collect, how and why we collect, store, use, and share it, your rights in relation to it, and how to contact us and supervisory authorities if you have a query or complaint. 4. Acceptable Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You shall not and shall not permit or authorise any third party to:

• Transmit or upload any content that is unlawful, harmful, fraudulent, defamatory, obscene, or otherwise objectionable, or that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any person
• Attempt to gain unauthorised access to any part of the Platform or its underlying systems, networks, servers, or databases connected to it
• Knowingly introduce viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful, or attempt any form of denial-of-service attack
• Use any robot, spider, scraper, crawler, or other automated device or process to access, monitor, copy, or extract any part of the Platform without our prior written consent
• Save, store, archive, or create derivative works from any portion of the Platform outside the Platform itself, except where expressly permitted in these Terms
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform or its AI models
• Circumvent or disable any security, access control, digital rights management, or content protection feature of the Platform
• Use the Platform to benchmark against, or to develop or sell, a competing product or service, or otherwise access the Platform for competitive purposes
• Use the Platform in a way that disrupts, damages, or impairs its proper functioning or the experience of other users
• Misrepresent your identity or affiliation, or impersonate any person, company, or entity
• Use or input any data in breach of applicable law or of licence terms or contractual obligations owed to a third party
• Access or use the Platform from any country or region subject to a comprehensive trade embargo or sanctions

5. User Contributions

The Platform may contain chatbots, feedback forms, collaboration tools, forums, or other interactive features that allow you to post, submit, publish, display, or transmit content or materials to us or other users ("User Contributions").

• Any User Contribution you post is considered non-confidential and non-proprietary. By providing a User Contribution, you grant us and our affiliates, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose it to third parties for any purpose
• You represent and warrant that you own or control all rights in your User Contributions and have the right to grant the licence above, and that all User Contributions comply with these Terms and applicable law
• You are solely responsible for the legality, reliability, accuracy, and appropriateness of your User Contributions
• We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user

6. AI & Digital Worker Features

Our Platform uses AI-based contextual processing and Digital Worker capabilities. You acknowledge that:

• AI-generated outputs are provided for informational and operational assistance only and must not be relied upon as professional, legal, financial, medical, or regulatory advice without independent verification
• You are solely responsible for reviewing, validating, and making decisions based on AI-generated outputs before acting on them
• You must not submit content that infringes third-party intellectual property rights, or that contains unlawful, sensitive, or confidential information you are not authorised to share
• We do not use content you submit to AI or Digital Worker features to train our models without your explicit prior written agreement
• AI outputs may contain errors, omissions, or content that is not fit for your specific purpose; we do not warrant their accuracy, completeness, or suitability

7. Ownership, Use & Intellectual Property

The intellectual property rights in the Platform and in all text, images, software, AI models, algorithms, audio, video, and other content or materials accessible from it ("Content") are owned by us and our licensors. We and our licensors reserve all such rights whether registered or unregistered worldwide.

Nothing in these Terms grants you any legal rights in the Platform or its Content other than as necessary to access it in accordance with these Terms. You must not adjust, circumvent, or delete any intellectual property notices contained in the Platform or Content.

The Platform or Content may include software, data, or materials subject to open source, Creative Commons, or similar licences ("OSS Licences"). These Terms do not override any applicable OSS Licence. Details of any applicable OSS Licences are available from us upon request.

Trade marks: our name, logo, and branding are our trade marks. Other trade marks displayed on the Platform are the property of their respective owners. You must not use any trade mark displayed on the Platform without the prior written permission of its owner.

You retain ownership of content you submit to the Platform. By submitting content, you grant us a limited licence to process it solely to provide the service you have requested.

8. Accuracy, Availability & Disclaimer

We try to keep the Platform accurate, up to date, and free from bugs, but we cannot guarantee this. The Platform, its Content, and all services, features, and outputs are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, current, accurate, complete, or free of viruses or other harmful components.

Any Content on the Platform is provided for general information purposes only to inform you about us, our products, and matters of interest. It has not been tailored to your specific requirements or circumstances. It does not constitute technical, financial, legal, or any other type of advice and should not be relied upon as such. You should always use your own independent judgement when using the Platform and its Content.

Any reliance you place on information on the Platform is at your own risk. We do not promise that the Platform will be available at all times or that your use will be uninterrupted. We may suspend or terminate access to the Platform at any time as we see fit.

You acknowledge that use of the Platform, including reliance on AI-generated outputs and Digital Worker features, involves inherent risks, including the risk that outputs may be inaccurate, incomplete, or unsuitable for your specific purpose. To the fullest extent permitted by law, you voluntarily assume those risks when you access or use the Platform.

9. Third-Party Services & Links

The Platform may contain links to, or integrations with, third-party websites, services, and platforms, including identity providers, payment processors, analytics services, cloud infrastructure providers, and other technology partners. Those third parties are independent from us and may impose their own terms, privacy policies, fees, and support processes. We do not control and are not responsible for third-party content, products, services, availability, transactions, acts, omissions, or security practices, and your use of those platforms is at your own risk. Please check their terms and privacy policies before submitting any personal data to those services.

10. Accessibility

We are committed to providing an accessible Platform experience where reasonably possible. 11. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless at our direction and request from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) any User Contribution you post; (c) your breach of these Terms; or (d) your infringement of any third-party rights.

12. Limitation of Liability

To the fullest extent permitted by applicable law, we and our affiliates, officers, directors, employees, contractors, partners, licensors, and service providers shall not be liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or connected with your use of or inability to use the Platform, including loss of revenue, loss of business, loss of data, loss of business opportunity, or loss of reputation or goodwill, even if we have been advised of the possibility of such damages.

Except where resulting from our fraud or wilful misconduct, our maximum aggregate liability to you for any claim relating to the Platform, whether in contract, tort, or otherwise, will be limited to one hundred US dollars (USD $100).

Nothing in these Terms limits any liability that cannot be limited under applicable law.

13. Disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Subject to any non-waivable consumer protection rights, the state and federal courts located in Cook County, Illinois shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Platform. If you are resident elsewhere, you retain the benefit of any mandatory protections given to you by the laws of your country.

14. Changes to These Terms

We reserve the right to update these Terms from time to time. Changes will be effective upon posting to the Platform with a revised effective date. By continuing to access or use the Platform after changes take effect, you agree to be bound by them.
